1. Agreement to Terms & Scope

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant", "User", or "You") and Mauzify Technologies Ltd ("Mauzify", "we", "us", or "our"), governing your access to and use of our SME Operating System, web applications, mobile tools, WhatsApp automated reminder services, KRA eTIMS tax integration, and payment reconciliation gateways (collectively, the "Services").

By accessing, registering, or using Mauzify, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

2. Merchant Responsibilities & Business Data

You retain all ownership rights to the business data, customer directories, inventory records, and debt ledgers you input into Mauzify. You represent and warrant that:

• You have the legal right to collect, store, and process your customers' contact information and debt records.
• Your use of automated WhatsApp and SMS reminder services complies with local telecommunication and consumer protection laws.
• You are solely responsible for verifying the accuracy of transaction records, inventory counts, and financial summaries generated in the platform.

3. Offline-First Synchronization & Local Caching

Mauzify provides robust offline functionality utilizing IndexedDB local storage to queue merchant actions (sales, debt entries, stock adjustments) during connectivity gaps.

You acknowledge that offline data is stored locally on your device until network connectivity is re-established and synchronization completes. Mauzify is not liable for data loss resulting from browser cache clearing, unauthorized device access, or hardware failure prior to successful background synchronization.

4. KRA eTIMS Tax Compliance & Liability

Mauzify offers automated Electronic Tax Invoice Management System (eTIMS) integration to assist merchants in generating tax receipts and tracking compliance status.

While Mauzify automates submission formatting and calculation based on user input, the Merchant remains solely responsible for accurate tax filings, VAT declarations, and direct compliance with the Kenya Revenue Authority (KRA) or relevant regional tax authorities. Mauzify disclaims liability for penalties arising from incorrect merchant input or tax authority server downtime.

5. M-Pesa & Payment Reconciliation

Our platform integrates with M-Pesa Daraja and payment gateways to facilitate automated payment reconciliation. Mauzify acts as a technological intermediary and does not hold, custody, or guarantee third-party mobile money settlements. Settlement disputes must be directed to your respective mobile network operator or financial institution.

6. Subscription Billing & Usage Quotas

Certain advanced features (such as unlimited WhatsApp reminders, multi-location support, and automated eTIMS sync) require an active paid subscription tier (Growth or Pro). Free tier quotas are subject to limits as specified on our Pricing page. Fees are non-refundable except as required by applicable consumer protection law.

7. Limitation of Liability

To the maximum extent permitted by Kenyan law, Mauzify Technologies Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business goodwill arising from your use of the Services.
